Terms of service

These Terms of Service (the “Terms”) form a binding contract between you (“you” or “User”) and Spacenotes Inc. (“Spacenotes,” “we,” “our,” or “us”). They govern your download, access, and use of the Kaleida mobile application and any related websites or services we operate (collectively, the “App”).

By installing, accessing, or using the App you agree to these Terms. If you do not agree, do not use the App.

1. The Kaleida Service

1.1 Description. Kaleida is an on‑device self‑help tool that uses AI to generate content meant to help you think through complex personal or professional questions. Kaleida is not a provider of medical, legal, financial, or psychological advice, diagnosis, or treatment (see §10).

1.2 Data Residency. Your content inside the App is stored locally on your device. If your iCloud backups are enabled, a copy is stored within your personal iCloud account. Spacenotes does not maintain a production database of your content and cannot retrieve it for you.

1.3 No Professional Advice Disclaimer. All output generated by Kaleida (collectively, “AI Content”) is provided solely for general informational and self-reflection purposes. AI Content is not medical, mental-health, legal, financial, investment, or other professional advice, and Spacenotes does not act as a doctor, therapist, lawyer, fiduciary, or financial advisor.  You must evaluate AI Content independently and, where appropriate, seek advice from a qualified professional. Never disregard professional advice or delay seeking it because of something you read in the App. If you think you may have a medical or mental-health emergency, call 911 (or your local emergency number) immediately.

2. Accounts & Eligibility

You must be at least 13 years old (or the age of digital consent where you live, if higher) to use the App. By using the App you represent that you meet this requirement and have legal capacity to enter this contract.

3. Freemium & Paid Plans

Kaleida is offered in two tiers:

  • Kaleida Free – limited feature set.

  • Kaleida Pro – additional features (such as “deep dives”), available via auto‑renewing Apple In‑App Purchase (“IAP”).

All billing, renewals, and refunds are handled by Apple under their terms. You may cancel at any time in your iOS subscription settings.

4. Your Content & Licence to Us

4.1 Your Content.

Any prompts, text, or other materials you input into the App are “User Content.” You retain ownership of your User Content.

4.2 Limited Processing Licence.

You grant Spacenotes a revocable, worldwide, royalty‑free licence to process your User Content solely for the purpose of generating responses and operating the App. When you delete the App, your User Content is no longer accessible to us.

4.3 AI Processing.

We send your prompts to OpenAI, L.L.C. in the United States via their API to generate responses. OpenAI acts as our data processor under its Data Processing Addendum. We do not use your User Content to train or improve any machine‑learning model, and OpenAI discards submitted data within 30 days or less for abuse monitoring.

5. AI‑Generated Content & Accuracy

5.  AI-Generated Content; Accuracy & No Reliance

5.1 Unpredictability. All content the App returns is generated automatically by large‑language models. It may be inaccurate, incomplete, misleading, or reflect outdated information. The content is provided for general informational and self‑reflection purposes only and is not a substitute for professional, medical, legal, financial, or psychological advice. AI systems can return inaccurate, incomplete, or outdated information, may “hallucinate” facts, and can reflect biases present in their training data.

5.2 No Guarantee. Spacenotes makes no representation or warranty that AI Content is correct, complete, or useful for any particular purpose.

5.3 User Responsibility. You alone decide whether and how to use AI Content. Before acting you should verify information independently and—when health, legal, financial, or other professional matters are involved—consult a qualified expert.

5.4 Assumption of Risk. You assume full responsibility and bear all risk for decisions or actions you take based on AI Content, and Spacenotes will have no liability for any resulting loss, injury, or damage.

6. Usage Rules & Safety

Do not use Kaleida to create or share illegal, harassing, or harmful material. We may suspend or terminate access for violations of these Terms.

7. Privacy

Our separate Privacy Policy explains how we handle personal information. Because all User Content is stored locally on your device, Spacenotes cannot access, view, or delete it for you. If you wish to erase your data, uninstall the App and, if applicable, remove any Kaleida data included in your personal device backups (for example, iCloud). Deleting the App alone will not remove those backups—you must manage them in your device settings.

8. Intellectual Property

All rights in the App and its underlying technology belong to Spacenotes or its licensors. Except for the personal, non‑exclusive, revocable licence we grant you to run the App on your devices for your own use, these Terms do not grant you any intellectual‑property rights in Kaleida.

Feedback. If you choose to share ideas, suggestions, or other feedback about the App (“Feedback”), you grant Spacenotes a perpetual, worldwide, irrevocable, royalty-free licence to use, modify, and incorporate that Feedback into Kaleida or other Spacenotes products without obligation to you.

9. Third‑Party Services

Kaleida may link to or integrate third‑party services—most notably OpenAI—for AI processing. Spacenotes is not responsible for third‑party services and disclaims all liability arising from them.

10. No Professional Advice

Kaleida and its AI Content are not a substitute for professional, licensed advice of any kind. Spacenotes does not create a provider–patient, attorney–client, advisor–client, or fiduciary relationship with you. Use of the App does not establish such a relationship, and none should be inferred.

Kaleida provides self‑help and informational content only. It is not medical, legal, financial, or psychological advice, and you should consult qualified professionals before making significant decisions. You assume full responsibility for any actions taken based on the App.

11. Disclaimer of Warranties

Kaleida is provided “as is” and “as available.” To the maximum extent permitted by law, Spacenotes disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Spacenotes will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or relating to your use of the App.

13. Indemnification

You agree to indemnify and hold harmless Spacenotes and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

14. Governing Law & Arbitration

These Terms are governed by the laws of the State of California, excluding its conflict‑of‑laws rules. Any dispute will be resolved by binding arbitration in San Francisco, California under the JAMS Streamlined Rules. You and Spacenotes agree that any claims or disputes will be brought on an individual basis only and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general action or proceeding. You and Spacenotes waive the right to a jury trial.

You may opt out of arbitration by emailing hello@spacenotes.app within 30 days of first accepting these Terms.

15. Changes to the Terms

We may update these Terms at any time. When we do, we will post the revised version here and update the "Last Revised" date. For material changes, we will use commercially reasonable efforts to notify you at least 14 days before they take effect—via an in‑app banner, pop‑up notice on our website, email to the address associated with your account, or other reasonable means. Your continued use of the App after the effective date constitutes acceptance of the revised Terms. If any change is unacceptable to you, you must stop using the App.

16. California Consumer Notice

Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952‑5210.

17. Contact Us

Please contact us at hello@spacenotes.app and Spacenotes Inc., 548 Market Street, San Francisco, CA 94104, USA to report any violations of these Terms of Service or to pose any questions regarding these Terms of Service or the Service. Please use email to ensure a fast response.

18. Miscellaneous

Entire Agreement. These Terms constitute the entire agreement between you and Spacenotes regarding the App and supersede all prior agreements.

Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

No Waiver. Spacenotes’ failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without Spacenotes’ prior written consent. Spacenotes may freely assign these Terms.

Force Majeure. Spacenotes will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Survival. Sections 4–15, and this §18 survive termination of these Terms.
